These Terms and Conditions ("Terms") govern your access to and use of Magipic.ai, including our website, platform, API, AI systems, event tools, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into binding agreements.
If you use the Services on behalf of a company, agency, brand, or event organizer, you represent and warrant that you have authority to bind that entity to these Terms.
2. Description of Services
Magipic.ai provides AI-powered image and video generation infrastructure, including:
Live event media generation
QR-based event access systems
AI filters and branded workflows
Credit-based generation systems
API integrations
Custom development and enterprise deployments
We may modify, suspend, or discontinue any part of the Services at any time without liability.
3. User Accounts
Certain features require account registration.
You are responsible for:
Maintaining confidentiality of credentials
All activity under your account
Ensuring account information remains accurate
We reserve the right to suspend or terminate accounts for violations of these Terms.
4. Payments, Subscriptions, and Credits
Subscriptions
Subscription plans renew automatically unless cancelled prior to the next billing cycle. Failure to cancel before renewal does not entitle you to a refund.
Credits
Credits are digital usage units:
Non-refundable except where required by law
Consumed when generation requests are processed
Subject to expiration according to your selected plan
Prices may change at any time. Continued use constitutes acceptance of updated pricing.
You are responsible for applicable taxes, including VAT.
5. Custom Development and Professional Services
Custom filters, workflows, and development services are considered professional services.
Once work has commenced, such services are non-refundable.
Deliverables are provided according to agreed specifications. Minor variations inherent to AI systems do not constitute breach.
6. AI-Generated Content
The Services utilize artificial intelligence systems.
You acknowledge and agree that:
AI outputs may not be unique
Outputs may contain inaccuracies
Outputs may resemble content generated for other users
AI systems are probabilistic in nature
You are solely responsible for reviewing and approving generated content before distribution.
Magipic.ai does not guarantee originality, accuracy, or fitness for a particular purpose.
7. User Content and Consent Obligations
You represent and warrant that:
You have the legal right to upload all content
You have obtained required consent from individuals appearing in uploaded media
You comply with applicable privacy and data protection laws
For live events, the event organizer is solely responsible for obtaining participant consent.
Magipic.ai acts as a data processor where applicable and does not assume responsibility for client compliance obligations.
8. Intellectual Property
All platform software, AI models, infrastructure, proprietary workflows, branding, and technology remain the exclusive property of Magipic.ai.
Subject to compliance with these Terms and payment of fees, you retain rights to AI-generated outputs.
You grant Magipic.ai a limited, non-exclusive license to process and host your content solely to provide the Services.
We may use anonymized and aggregated data for system improvement.
9. API Usage
API access is subject to rate limits, usage caps, and technical documentation.
Abuse, excessive load, or attempts to circumvent system controls may result in immediate suspension without notice.
10. Service Availability and SLA
Unless expressly stated in a signed Enterprise Service Level Agreement (SLA):
We do not guarantee uninterrupted service
We do not guarantee real-time processing speeds
We do not guarantee uptime percentages
Service performance depends on:
Internet connectivity
Device capabilities
Cloud infrastructure
Third-party integrations
Enterprise clients requiring guaranteed uptime must enter into a separate written SLA.
11. Force Majeure
Magipic.ai shall not be liable for delays or failures caused by events beyond our reasonable control, including:
Internet outages
Cloud provider disruptions
Power failures
Natural disasters
Government actions
Labor disputes
Cyberattacks
Third-party platform failures
Obligations are suspended during such events.
12. Event Risk Allocation
For live events and activations:
Magipic.ai shall not be liable for:
Event revenue loss
Sponsorship disputes
Guest dissatisfaction
Brand activation outcomes
Venue connectivity issues
You are responsible for adequate testing before live deployment.
13. Third-Party Services
The Services integrate with third-party providers including hosting providers, payment processors, analytics services, and marketing platforms.
We are not responsible for third-party availability, performance, or security.
14. Privacy and Cookies
Your use of the Services is governed by our Privacy Policy and Cookie Policy.
Analytics and marketing technologies may be used in accordance with user consent and applicable law.
15. Limitation of Liability
To the maximum extent permitted by law:
Magipic.ai shall not be liable for:
Indirect or consequential damages
Loss of profits or revenue
Loss of data
Loss of business opportunity
Reputational harm
Event-related losses
Our total aggregate liability shall not exceed the total amount paid by you to Magipic.ai in the twelve (12) months preceding the claim.
This limitation applies regardless of legal theory.
16. No Warranties
The Services are provided "as is" and "as available."
We expressly disclaim all warranties, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy of AI outputs
AI systems inherently involve probabilistic generation.
17. Indemnification
You agree to indemnify and hold harmless Magipic.ai from claims arising from:
Your use of the Services
Your uploaded content
Your failure to obtain required consent
Your violation of applicable laws
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Israel.
Any dispute shall be subject to the exclusive jurisdiction of the competent courts in Israel.
19. Consumer Law Carve-Out
Nothing in these Terms limits rights that cannot be waived under applicable consumer protection laws in your jurisdiction.
20. Changes to These Terms
We may update these Terms at any time.
Continued use of the Services after updates are published constitutes acceptance of the revised Terms.
